STATUTE
(pursuant to Art. 6:08 of the law on voluntary Aug. 11 1991 No. 266)
NAME - REGISTERED OFFICE - DURATION
Article 1
E 'consists of the voluntary association called "aged LECCE" , hereinafter for brevity referred to as "the Association ". It
in full compliance with the law 266/1991 and the Law Puglia Region 11/1994. As such non-profit-making even indirect and operates exclusively for charitable purposes.

The Art Association is located in Lecce and may establish or close branches or sections in other localities of the Province of Lecce by resolution of the Board of Directors. Will join other associations.
Article 3 The Association is open-ended.
OBJECT
Article 4 The Association intends to work primarily in the following areas:
a) The area socio-sanitary cover all the initiatives aimed at health education, prevention and, more generally, in search of psychological well-being;
b) The area of \u200b\u200bsocial solidarity in relation to issues of exclusion and hardship;
c) L 'educational area;
d) The area of \u200b\u200bcivil rights and the protection of the citizen.
Association, a non-profit, is made up of parents, relatives and friends of gay men and women who are committed to the success of both their civil rights, and the right to personal identity and is an organization non-party, democratic, pacifist, anti-racist, non-violent, open to all: individuals, men and women who share the objectives of these regulations.
AGED LECCE, whose spirit is based on full respect for the human dimension, cultural, spiritual person, will operate primarily to provide help and solidarity, inside and outside the family, in situations of hardship and suffering caused by the refusal of LGBT people in society, to remove prejudices, fears and stereotypes and prevent the phenomena of discrimination against different sexual orientations and gender identities, working to disseminate correct information about it, to prevent the discomfort and educate youth to respect, recognition and appreciation of LGBT people, to fight against discrimination, injustice, intolerance and all forms of racism that are subject so as to give equal rights, freedom and respect due to every person.
Given these goals of solidarity and volunteer organizations, the Association aims to raise awareness and involve
the world of education - students, educators, families - the doctors, the clinics, the world of work, institutions, organizations and individuals to promote a culture of acceptance and respect of differences and to establish permanent offices and listening centers and any other service and structure deemed necessary to achieve the purposes of this statute.
In order to carry out their activities, the Association relies so predominant determinant of performance and personal, voluntary and free of its members and any tool to achieve the social goals and, in particular, cooperation with local authorities, including through the conclusion of appropriate agreements, pursuant to art. 7 of Law No 266/1991, participation in other associations, companies or bodies whose objects are similar or related to yours.
The Association may also undertake any other cultural or recreational activities and may carry out any economic or financial, securities or real estate, as long as necessary to improve the achievement of its institutional purposes. The Association is open
to those who share the principles of solidarity.
MEMBERS
Article 5
The association consists of an unlimited number of members of the following categories:
- ; founding members, individuals who have signed the memorandum of the Association;
- ordinary members , individuals that recognize and adhere to the scope of the Association by paying a minimum annual fee which is calculated periodically by the Board of Directors, and this fee is fixed for the first year in twenty euro.
- operative members, individuals who adhere to the Association by paying a free and voluntary activities in the manner prescribed by the Board and to a specific fee established by the Board.
- honorary members, individuals who have acquired special merits for their work on behalf of the Association or who are unable to join the express prohibition effective regulatory reasons or quotas.
All members enjoy the same rights and be subject to the same duties.
In particular, all members or participants of legal age have the right to vote for the approval and amendment of the statutes and regulations and the appointment of the governing bodies of the Association, also have the right to access associative positions.

Article 6 The members are required to comply with the statutes and regulations, and directives and the deliberations that, under the provisions thereof, are issued by the organs of the Association. The performance of the members are free of charge and can not be paid either by the recipient. The members may be reimbursed only the expenditure actually incurred and documented in appropriate parameters that apply to all members, previously established by the Board and approved by the Assembly. The activities of members is incompatible with any form of paid employment and any other relationship involving the assets of the Association.
Article 7
Membership status may be overridden by expulsion, for voluntary withdrawal and decline.
In the first case, the Assembly decides on the expulsion, after the charges and after hearing the member concerned, if required by it, for acts contrary to the provisions of this Statute if they have taken on serious grounds, to make contrary to the continuation of the associative relationship, for example, for the disappearance of the requirements for admission, to carry out illegal criminal activity, truancy and repeated for the meeting, for refusing to comply with the resolutions approved, etc. .
In the second case, each member can withdraw from at any time writing to the Board of Directors; such withdrawal shall take effect immediately.
In the third case, the forfeiture is decided by the Board after six months of non-payment of annual dues.
It is understood the obligation to pay the dues for the current year.
Members who have ceased to belong to the association, however, can not repeat the contributions paid and have no interest in the assets of the association.
ECONOMIC RESOURCES
Article 8 The financial resources for achieving the purposes for which the association and is paid to cover the operating costs of the association will consist of:
a) the annual dues established by the Board of Directors;
b) any proceeds from association activities (events and initiatives);
c) any income from business and manufacturing marginal
d) any other contributions, including donations, bequests accepted by resolution by the Governing Council and repayments due to conventions, which members, non members, public or private give to achieve the aims of the association;
e) contributions to international organizations.
Association may pay all economic transactions referred to in Article. 5, paragraph 2 of Law No. 266/1991.
Also during the life of the individual members can not ask for the division of common resources. The membership fee is
intrasmissibile except for transfers due to death and is not re-valued.
ORGANS OF
Article 9
bodies are:
a) Shareholders' Meeting;
b) Board of Directors;
c) Chairman;
d) Secretary / Treasurer.
All positions are elective and are free.
GENERAL MEETING
Article 10 The Assembly represents all of the duly constituted members and its decisions taken in accordance with law and this statute requiring all members .
The Assembly is the highest deliberative body.
In particular, the Assembly has the task
a) to examine the general problems and to set guidelines for the association's activities and to discuss and act on reports of social activity;
b) to appoint the members of the Board;
c) to appoint the Auditors and Trustees;
d) to ratify the amount of annual dues established by the Board of Directors;
e) to approve the final budget and the budget;
f) to deliberate on amendments to the articles of association and the possible dissolution of the partnership;
g) to approve the plan for training and updating of volunteers
h) to deliberate on all 'complaints of exclusion and excluded members.
Article 11 The Assembly is convened at the registered office or provided elsewhere in the country at least once a year in the month of April.
It must also be convened whenever it is requested by the President of the association, the Board of Directors or by at least one third of the members.
The meeting is convened by the President of the association or a person delegated to do the same, sent by registered mail or hand delivered to members at least eight days before the date of the meeting or sent by certified electronic mail or by posting of enrollment of the association convened at the headquarters at least fifteen days before the meeting. Article 12 are entitled to attend the meeting all members in good standing with the payment of dues. They may be represented by another member by written proxy. It is not allowed more than one proxy to the same person. The Chairman of the

Article 13 Each member has one vote. Deliberations of the first call shall be taken by majority vote and with the physical presence or by proxy at least half of the members. In the second call

COUNCIL
Article 14 The Board of Directors consists of a number of members not less than five and no more than nine. The Assembly elects the Board of Directors. The Board's task is to implement the general directives laid down by the Assembly and any initiative to promote the achievement of social goals.
The Board of Directors are also responsible for taking all measures necessary for the ordinary and extraordinary, the organization and operation of the association, to establish the budget of the association and submitted to the approval of then, to establish annual dues paid by members.

Article 15 The Executive Council shall appoint from among its members the president, vice president, treasurer and secretary. Article 16 The members of the Board of Directors serve for three years and may be reelected.
If they fail one or more directors, the Board shall replace them, appointing in their place the shareholder or shareholders' meeting last election that followed in the ranking of the vote.
In any case, the new directors will expire along with those who are in office at the time of their appointment.
If they fail more than half the number of advisers, the president must convene a meeting for new elections.
Article 17 The Executive Council shall meet at the invitation of the President whenever the opportunity is proven, or when they make written request at least two members of the Board.
Each member of the Board of Directors will be invited to at least three days before, only in an emergency, the Board will be convened within twenty-four hours.
The notice shall indicate the items on the agenda.
Article 18 The validity of the meeting of the Board of Directors requires the presence of a majority of its members.

SECRETARY / TREASURER
Article 19

PRESIDENT
Article 20 The President, elected by the Executive Council, the legal representative of the Association towards third parties and in court, sign the documents and materials for the explanation business that are approved by the Board of Directors.

The President shall convene and preside over meetings of the Executive Council and the Assembly of Members, overseeing the implementation of their resolutions and adopting, in cases emergency, any appropriate measure, which will submit its ratification by the Board of Directors at the first meeting. The President is authorized to make all necessary arrangements for the recognition of the competent authorities and for the acquisition of legal personality and status of voluntary organization.

BOARD OF AUDITORS Article 21
The Assembly may elect a Board of Auditors composed of three members, elected by the outside members of the Board of Directors and elects an / a President. The Auditors shall hold office for three years from the date of their appointment and may be reelected.
The Board of Auditors has the task to periodically check the formal and substantive accounts, prepare a special report to be attached to the budget and final accounts.

COLLEGE OF GUARANTORS
Article 22 The Assembly may elect a Board of Trustees composed of three members, elected at the meeting.
The members of the Board shall hold office for three years from the date of their appointment and elect a / a president.

FINANCIAL YEARS

RULE
Article 25 For matters not covered by this statute, we refer to the applicable laws on the subject, with particular reference to the Civil Code, the Law of 11 August 1991 No 266 and the regional legislation on volunteering, and their variations.
This Act is declared by the parties to the MoU in accordance with their wishes. It consists of seven pages in four sheets.
